By accessing or using our Website or Services, you agree to be bound by these Terms. Professional consulting services are governed by separate written agreements and are not covered by these Terms.

2.2 Account Creation

Purchase Validation: For Products requiring authentication, we use your email address to verify your purchase and grant access. Ensure the email address used at purchase matches your account email.

All prices for Products are listed on our Website and are subject to change at any time without notice. Price changes apply only to future purchases.

This license permits you to access Products from multiple devices you personally own and use checklists, frameworks, and guidance for your own projects.

This license does not permit reselling, redistributing, or sublicensing the Products; sharing your access credentials with others; creating derivative products for commercial distribution; or reproducing, republishing, or selling substantially similar checklists or frameworks as standalone products.

4.2 Access Codes and Credentials

Some Products are distributed via access codes or passwords. These credentials are for single-user use only, may not be shared publicly or with others, and are subject to immediate revocation if shared.

5. Refunds and Cancellations

5.1 Direct Purchase Refund Policy

For Products purchased directly from Make Industry, we offer a 30-day money-back guarantee. Contact us at contact@makeindustry.com within 30 days of purchase with your purchase confirmation to request a refund. Refunds are processed within 7-10 business days.

5.2 Third-Party Platform Purchases

Products purchased through third-party platforms (Contra, etc.) are subject to those platforms' refund policies. Contact the respective platform directly for refund requests.

5.3 Refund Exceptions

For direct purchases, the following circumstances may be refundable even after the 30-day window (within 90 days of purchase): technical issues preventing product access, significant product misrepresentation, or duplicate purchase made in error.

5.4 Digital Goods Acknowledgment

Our Products are digital goods delivered immediately upon purchase. The 30-day money-back guarantee is our voluntary service policy. EU/UK users: your statutory right of withdrawal applies as required by law.

6. Acceptable Use

You may use our Services for lawful purposes only. Prohibited uses include violating applicable laws, infringing intellectual property rights, engaging in activity that could harm our Services, attempting unauthorized access to our systems, using automated systems to extract data (screen scraping), transmitting malware, or sharing access credentials publicly.

We reserve the right to investigate violations, take legal action, suspend or terminate access for violations, and refuse service to anyone at any time.

7. Services vs. Digital Products Distinction

7.1 Digital Products (Covered by These Terms)

Our digital Products — including checklists, frameworks, tools, and downloadable content such as Launch Readiness Checklists, Project Discovery Tool, digital guides, and online tools — are governed by these Terms.

7.2 Consulting Services (NOT Covered by These Terms)

Professional consulting services, custom development work, and project-based engagements are NOT covered by these Terms. Consulting services are governed by separate written agreements (Independent Contractor Services Agreements or Statements of Work) negotiated for each specific engagement.

8. Third-Party Services and Trademarks

Our Products may rely on or integrate with third-party platforms including Replit, OpenAI, Anthropic, and other development tools. We do not control these third-party services, and availability of our Products may depend on them.

Replit® and other product names mentioned in our Products are trademarks of their respective owners. Make Industry, LLC is not affiliated with, endorsed by, or sponsored by Replit or any other third-party platform.

9. Disclaimer of Warranties

OUR SERVICES AND PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. Our Products provide educational guidance and frameworks, not professional advice. They are not a substitute for professional legal, financial, technical, or other expert advice.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAKE INDUSTRY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. Our total liability for any claims is limited to the amount you paid to Make Industry in the twelve months preceding the claim.

11. Intellectual Property

Make Industry, LLC owns all intellectual property rights in our Website, Products, and content, including text, graphics, code, and trademarks. The Make Industry name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Make Industry, LLC. Your purchase grants you a license to use the Products as described in Section 4, but does not transfer any ownership rights.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Montana, United States, without regard to its conflict of law provisions. For disputes, we prefer to resolve issues directly — please contact us at contact@makeindustry.com first. For formal disputes, the courts of Montana have exclusive jurisdiction.
